Declaration of Compliance

Pursuant to Art. 161, German Stock Corporation Act (AktG), the management board and supervisory board of a listed company are required to issue an annual statement (“Declaration of Conformity”) concerning the extent to which the company has met, and continues to meet, the recommendations issued by the Government Commission on the German Corporate Governance Code. The Management Board and Supervisory Board of Accentro Real Estate AG declare:

Since the submission of its most recent declaration of conformity on 31 March 2022, Accentro Real Estate AG followed the recommendations of the German Corporate Governance Code (DCGK) during its respective effective periods pursuant to its old version dated 16 December 2019, which was published in the Federal Gazette on 20 March 2020 (“Code OV”) and has followed them pursuant to its new version dated 28 April 2022, which was published in the Federal Gazette on 27 June 2022 (“Code NV“, together with Code OV referred to as “the Code”), and will continue to follow the Code’s recommendations in future, with the following exceptions:

Code NV Recommendations A.1 and A.3 (Consideration of sustainable objectives)

In 2022, the Company started to develop a sustainability strategy and to make the corresponding organisational preparations. However, the process has not advanced far enough to permit the conclusive identification of the social and environmental factors relevant for the Company’s business activities, their subsequent integration into the corporate strategy and planning, nor the definition of targets derived from them. As a result, the Company will not be able to follow recommendation A.1 any time soon. Then again, the legal requirements have been, and continue to be, met.

Code NV Recommendation A.5 (Attributes of the internal control system and risk management system)

According to Recommendation A.5, GCGC 2022, the management report should describe the essential characteristics of the entire internal control system and of the risk management system, and should moreover assess the adequacy and effectiveness of these systems. The management report meets the legal requirements, and specifies the key attributes of the internal control system and of the risk management system. However, the Company abstained from assessing the adequacy and effectiveness of these systems because both the Supervisory Board and the Management Board in its supervisory function found no issues in regard to their adequacy and effectiveness.

Code Recommendation B.1 (Composition of the Management Board)

The Supervisory Board and the Management Board expressly welcome all efforts to counter gender discrimination as well as any other form of discrimination and to adequately promote diversity. In its recruitments for the Management Board, the Supervisory Board exclusively considers the competence, qualification and experience of eligible candidates, whereas other qualities such as gender or nationality have been, and continue to be, irrelevant for this sort of decision.

Code Recommendation B.2 (Succession planning)

There is currently no written succession planning document. Management Board and Supervisory Board will always conduct talks about a term extension in good time before a given board member’s service contract ends. The Supervisory Board is convinced that, if the talks fail to result in a continuation of the collaboration, it will have sufficient time left to secure the succession without any need for a written concept.

Code Recommendation B.5 (Age limit for Management Board members)

No age limit has been defined for members of the Management Board at this time. The Company believes that age should in and of itself not be a knock-out criterion for its board appointments. In the eyes of the Supervisory Board, the Company’s interests are furthered much more by the option to draw on the long-term know-how of individual board members from time to time.

Code NV Recommendation C.1 (Competency profile of the Supervisory Board, qualification matrix, sustainability)

For the Supervisory Board, a competency profile has been compiled that focuses on long-term experience and in-depth expertise in the real estate sector and in the commercial area. By contrast, the competency profile currently details no exhaustive experiences in the area of sustainability. The Supervisory Board is intensively involved in the development of a sustainability strategy for the Company. Due to the size of the body with its three members and the extensive experience of all members, the corporate governance statement includes no qualification matrix that reflects on the progress made in the implementation of the competency profile.

Code Recommendation C.2 (Age limit for Supervisory Board members)

In the eyes of the Supervisory Board, no age limit is needed to ensure the effectiveness and success of its work, so that the Company has deviated, and continues to deviate, from this recommendation.

Code Recommendation C.12 (No board functions or advisory roles for significant competitors)

Members of the Supervisory Board should not exercise any board functions or advisory roles for significant competitors of the Company, nor should they maintain personal ties with a significant competitor. Yet the Supervisory Board members Axel Harloff and Carsten Wolff did exercise board functions for competitors. Axel Harloff was chairman of the supervisory board of Consus Real Estate AG, Berlin, until 16 May 2022 and member of the management board of ERWE Immobilien AG, Frankfurt am Main until October 2022. Carsten Wolff is CFO and thus a member of the board of directors of A.D.O. Group LTD, Tel Aviv, Israel, and a board member of Eurohaus Frankfurt AG, Berlin, which are both fully owned subsidiaries of ADLER Real Estate AG. In addition, Carsten Wolff was a member of the supervisory board of ERWE Immobilien AG, Frankfurt am Main, until 25 May 2022. The Supervisory Board believes that the situation caused no relevant conflicts of interest during the 2022 reporting period. Constant dialogue and a review of the facts and circumstances of each case act as safeguards to prevent the occurrence of any relevant conflicts of interest in future, too.

Code Recommendations D.2 and D.4 (Code NV) / D.5. (Code OV) (Formation of Supervisory Board committees)

With the exception of the audit committee, the Supervisory Board has so far refrained, and will continue to refrain, from forming committees except for the audit committee, refraining specifically from forming a nomination committee, as it considers three Supervisory Board members a sufficient number to function effectively even in joint representation, and because it would seem unreasonable, given the size of the Supervisory Board, to form committees, which must include at least two people or, for a quorum, at least three people.

Code NV Recommendation D.3 (Competencies in sustainability reporting)

None of the Supervisory Board members appointed since 2019 or 2020, as the case may be, has extensive expertise and experience in the area of sustainability reporting and the auditing of sustainability reports. The Supervisory Board sees no need for new appointments to the board at this time. But as soon as a new member to the Supervisory Board is to be elected, the Code recommendation should be taken into account,

Code NV Code Recommendation D.11 / Code OV Recommendation D.12 (Training and professional development measures for the Supervisory Board)

Upon the Supervisory Board’s request, the Company will adequately support the Supervisory Board in its training and professional development measures, and report on measures implemented in the Report by the Supervisory Board.

Code NV Code Recommendation D.12 / Code OV Recommendation D.13 (Self-assessment of the Supervisory Board)

The entire Supervisory Board will attend the periodic meetings of the Supervisory Board as well as the meetings of the Supervisory Board with the auditors. The Supervisory Board coordinates its activities via in-house meetings and conference calls. The Supervisory Board believes that a further self-assessment is unnecessary, given the size of the Supervisory Board.

Code Recommendation F.2 (Publication of interim financial information during the course of the year)

Due to organisational procedures, Accentro Real Estate AG does not publish its interim reports within 45 days after the end of the reporting period and the consolidated financial statements and the group management report within 90 days after the end of the financial year. The requirements of the stock exchange regulations and the legal requirements regarding the half-yearly financial report in accordance with Section 115 of the German Securities Trading Act (WpHG) are complied with in all cases. Accentro Real Estate AG aims to comply again with the Code's recommendation regarding the consolidated financial statements and the group management report for the 2023 financial year.

Code Recommendation G.1 (Determining the remuneration for each Management Board member)

In accordance with statutory requirements, the Supervisory Board defines a maximum total remuneration for the Management Board. Neither a presentation of how the target remuneration is determined, nor a breakdown for each Management Board member that would include the relative shares of the remuneration components, has been and will be provided. At the time the resolution concerning the remuneration system was adopted, the Supervisory Board was in the process of finalising the long-term incentive (LTI) plan, which made it impossible for the Board to conclusively define a target remuneration just yet. From the Supervisory Board’s perspective, a retrospective breakdown of the remuneration will not be necessary.

Code Recommendation G.4 (Vertical comparison of proportionality)

The Supervisory Board dutifully reviews the proportionality of the Management Board’s remuneration. In doing so, it takes the Company’s internal wage and salary structure into account. However, the Supervisory Board does not believe that the formal comparison with the entire workforce as suggested in Recommendation G.4 is necessary to ascertain whether the Management Board remuneration is proportionate to the usual remuneration levels within the Company itself. In the opinion of the Supervisory Board, a formal comparison with the Group workforce will not improve the decision-making process.

Code Recommendation G.6 (Variable remuneration)

The Management Board service contract in effect prior to June 2022 did not provide for a long-term variable remuneration component, and in this sense deviated from the recommendation that the variable remuneration defined by the achievement of targets with long-term orientation should exceed the share defined by targets of short-term orientation. In the Supervisory Board’s opinion, no such provision was necessary to create an incentive for the work of the Management Board because the latter was sufficiently motivated by the existing variable remuneration plan to act in the long-term interest of the Company. The Management Board member’s service contract that has been in effect since June 2022 actually includes a long-term variable remuneration component now whose target cash value exceeds the target value of the short-term variable remuneration component when calculated for the financial year as a whole, and so the recommendation will be followed as of the 2023 financial year in any case.

Since the Chief Investment Officer, Dr. Gordon Geiser, was only appointed for an interim period of two years as of 10 February 2023, the Supervisory Board has felt, and continues to feel, that agreeing to long-term goals is not the right way to create proper incentives for this particular member of the Management Board. Accordingly, the Company deviated, and continues to deviate, from Recommendation G.6.

Code Recommendation G.10 (Granting shares, vesting period)

The Management Board member’s service contract that was in effect prior to June 2022 did not include provisions granting variable remuneration components that consisted of shares or were share-based, so that the contract deviated from the recommendation to grant, with the tax burden of the respective Management Board member taken into account, variable remuneration amounts that are primarily invested in Company shares or are share-based in some other way. In the Supervisory Board’s opinion, no such provision was necessary to create an incentive for the work of the Management Board because the latter was sufficiently motivated by the variable remuneration plan effective at the time to act in the long-term interest of the Company. The Management Board member’s service contract that has been in effect since June 2022 actually includes a long-term variable remuneration component now whose target cash value exceeds the target value of the short-term variable remuneration component when calculated for the financial year as a whole, and so the recommendation will be followed as of the 2023 financial year in any case. During the 2021 financial year, the Company granted no variable remuneration component in the form of shares or in share-based forms to the members of the Management Board. It is not planned to grant variable remuneration components in the form of shares or in share-based forms to the Board members under existing contracts of employment because the Supervisory Board does not consider doing so necessary to motivate the Management Board to seek a long-term and sustainable development of the Company. However, it is intended to follow the recommendation whenever new members of the Management Board are to be appointed or existing employment contracts with board members are to be renewed.

Since the Chief Investment Officer, Dr. Gordon Geiser, was only appointed for an interim period of two years as of 10 February 2023, the Supervisory Board has felt, and continues to feel, that share-based remuneration components are not an effective way to create proper incentives for this particular member of the Management Board. Accordingly, the Company deviated, and continues to deviate, from Recommendation G.10.

Agreements regarding a share-based remuneration scheme exist between the main shareholder and Management Board member Lars Schriewer, which is recognised pursuant to IFRS 2 as remuneration expense just like stock options in the Consolidated Financial Statements.

Code Recommendation G.11 (Retaining or reclaiming a variable remuneration)

It has not been intended so far, nor is it intended in the future, to authorise the Supervisory Board to retain or reclaim the full amount of a variable remuneration. In the opinion of the Supervisory Board, there is no need for a retention or claw-back provision on top of the existing variable remuneration components to create sufficient incentives for a sustainable corporate governance committed to the welfare of society.

Code Recommendation G.13 (Severance cap)

There is no express provision to credit a waiting allowance against a severance payment yet to be made. The Supervisory Board believes that such a provision is unnecessary to create an incentive for the work of the Management Board. Whether or not such an allowance will be credited will be decided by the Supervisory Board on a case-to-case basis, so as to satisfy the purposes of severance payment and waiting allowance in each case.

As of 31 December 2021, the Management Board has not yet set up a compliance management system and has also refrained from setting up a whistle-blower system. Considering the manageable scope of the Company’s structures and business processes as well as its flat hierarchies, there has been little need for a compliance management and whistle-blower system, comparatively speaking. In addition, a proactive risk management system was introduced that is constantly adapted to the requirements and growth of the Company. The system along with the close involvement of the Management Board in the main business transactions and projects as well as in the corporate workflows ensure that emerging risks are continuously monitored. The Company maintains a regular dialogue between employees and the Management Board, and cultivates an internal trust-based corporate culture.

Code Recommendation B.1 (Composition of the Management Board)

Code Recommendation C.12 (No Board Functions or Advisory Roles for Significant Competitors)

Members of the Supervisory Board should not exercise any board or advisory functions for significant competitors of the company and should not have a personal relationship with a significant competitor. However, the Supervisory Board members Axel Harloff and Carsten Wolff hold executive positions at major competitors. Mr Harloff is Chairman of the Supervisory Board of Consus Real Estate AG, Berlin and Member of the Management Board of ERWE Immobilien AG Frankfurt am Main, Mr Wolff is Member of the Board of Directors as CFO of A.D.O. Group LTD, Tel Aviv, Israel, and Eurohaus Frankfurt AG, Berlin, which are wholly owned and with a 89,9 percent share subsidiaries of ADLER Real Estate AG, Berlin, as well as a member of the Supervisory Board of ERWE Immobilien AG, Frankfurt am Main. In the opinion of the Company, however, no material conflicts of interest will arise as a result.

Code Recommendations D.2, D.3, D.4 and D.5 (Formation of Supervisory Board Committees)

The Supervisory Board has so far refrained from setting up committees, and has specifically refrained from setting up a nomination committee and, as of 31 December 2021, from setting up an audit committee, as it considers three Supervisory Board members a sufficient number to function effectively even in joint representation, nor will it form such committees in future, with the exception of an audit committee, unless they are prescribed by future legislation. Given the size of the Supervisory Board, it would so far seem unreasonable to form committees, which must include at least two people or, for a quorum, at least three people. The members of the audit committee are identical with the members of the Supervisory Board, namely Axel Harloff, Natig Ganiyev and Carsten Wolff. The audit committee is chaired by Carsten Wolff.

Code Recommendation D.12 (Training and Professional Development Measures for the Supervisory Board)

Upon the Supervisory Board’s request, the Company will adequately support the Supervisory Board in its training and professional development measures, and report on measures implemented in the Report by the Supervisory Board.

Code Recommendation D.13 (Self-Assessment of the Supervisory Board)

ACCENTRO Real Estate AG publishes its financial reports (consolidated financial statements incl. group management report and interim reports) in accordance with the stock exchange regulations of the Frankfurt Stock Exchange. That said, the Company as issuer deviates from the recommendations of the German Corporate Governance Code, a circumstance explained by the Company’s current structure of certain internal work processes. The Company will comply with the legal requirements set out for the annual financial report in Art. 115, German Securities Trading Act (WpHG).

The holding period of shares acquired upon appointment to the Management Board is linked to the appointment term, so that in the event of a shorter appointment term—as in the case at hand, caused by the respective first-time appointment—the shares vest with board members before the end of a four-year term unless their appointment is renewed.

During the 2021 financial year, the Company granted no variable remuneration component in the form of shares or in share-based forms to the members of the Management Board. It is not planned to grant variable remuneration components in the form of shares or in share-based forms to the Board members under existing contracts of employment because the Supervisory Board does not consider doing so necessary in order to motivate the Management Board to seek a long-term and sustainable development of the Company. However, it is intended to heed the recommendation whenever new members of the Management Board are to be appointed or existing employment contracts with board members are to be renewed.

Management Board and Supervisory Board ACCENTRO Real Estate AG

Pursuant to § 161 of the German Corporation Act (AktG), the management and supervisory boards of a listed company are required to issue an annual declaration on the extent to which the recommendations of the "Government Commission on the German Corporate Governance Code" have been and are being complied with. The text of the declaration is published on the Company's website (www.accentro.ag).

I. Code of 7 February 2017

The Management and Supervisory Boards of Accentro Real Estate AG declare: "Since issuing its last declaration of compliance on 6 March 2020, Accentro Real Estate AG has complied with the recommendations of the German Corporate Governance Code as amended on 7 February 2017 and published in the Bundesanzeiger on 24 April 2017, as corrected by the announcement on 19 May 2017, with the following exceptions:

Code Section 3.8 (D&O insurance)

The D&O insurance policy concluded as a group contract currently does not provide for a deductible for the members of the Supervisory Board. The company is of the opinion that no such deductible for the members of the Supervisory Board is necessary to encourage them to properly perform their supervisory duties,  especially since the recommendation has been dropped with the current version of the Code dated 16 December 2019 (published on 20 March 2020).

Code Section 4.1.3 (Compliance management and whistleblower system)

The Management Board is currently refraining from setting up a compliance management system and whistleblower system. In view of the manageable corporate structures and business processes as well as flat hierarchies, the need for a compliance management and whistleblower system has so far been comparatively low. The close involvement of the Management Board in the main business transactions and projects as well as business routines ensures ongoing monitoring of any risks of potential legal violations within the Company. Regular exchange takes place between employees and the Management Board, and an internal culture of trust is fostered.

Code Section 4.1.5 (Diversity)

The Management Board of Accentro Real Estate AG pursues the goal of promoting women and has set itself the goal of recruiting additional women for management positions. However, the Management Board is of the opinion that the aspect of diversity, which includes consideration of women, should not be the sole decisive criterion for filling managerial positions, so that it has deviated in this respect from the Code recommendation to strive for an appropriate consideration of women when filling management positions. In the interests of the Company, leadership and management skills as well as professional competence in the respective business areas and areas of responsibility and acquired professional experience are of primary importance.

Code Section 4.2.1 (Composition of the Management Board)

At variance with Section 4.2.1 of the Code, the Management Board of Accentro Real Estate AG will consist of only one person until 16 November 2020. With effect from this date, Mr Hans-Peter Kneip has been appointed Chief Financial Officer (CFO). The Supervisory and Management Boards were of the opinion that the size of the company justified a single-member Management Board.

Code Section 4.2.3 (Composition of the Management Board)

The total remuneration of the Management Board currently comprises fixed and variable components, but no remuneration components with a long-term incentive effect or association with risk. In addition, the recommendation that the variable components of the total remuneration should take into account any negative development of the Company has not been and will not be complied with. In the opinion of the Supervisory Board, neither of these is necessary to ensure the loyalty of the Management Board and its commitment to the Company. No maximum compensation limits or a severance payment cap for departing Management Board members have been agreed at present, as the Supervisory Board does not consider this necessary.

Code Section 5.1.2 (Composition of the Management Board, age limit and succession planning)

Due to the age structure of the Management Board, no age limit has been set and no long-term succession plan has been made at this time. The Supervisory and Management Boards expressly welcome all efforts to counteract gender discrimination and any other form of discrimination and to appropriately promote diversity. When appointing members of the Management Board, the Supervisory Board attaches exclusive importance to the competence, qualifications and experience of the persons in question; other characteristics such as gender or national affiliation were and are therefore of no significance for this decision.

Code Sections 5.3.1, 5.3.2 and 5.3.3 (Committees)

The Supervisory Board has so far refrained from setting up committees (e.g. an audit committee or a nomination committee) and will continue to do so in the future, because the Supervisory Board believes that, given the number of three members, it is possible to work efficiently even if all members are represented, and the formation of committees, which must comprise at least two persons, or a quorum of at least three, does not seem appropriate for a Supervisory Board of this size.

Code Section 5.4.1 (Composition of the Supervisory Board)

At present, the Company does not comply with the Code's recommendation on the formulation of concrete objectives for the composition of the Supervisory Board and a competence profile for the entire body and the publication thereof in the Corporate Governance Report, which in particular includes adequate participation of women. The legal requirements for meeting a specified minimum participation rate for women will be complied with in the coming elections to the Supervisory Board. In the opinion of the Supervisory Board, neither the age limit nor the limitation on the length of service are necessary for the effective and successful work of the Supervisory Board. The Supervisory Board will examine to what extent these recommendations can be complied with in the future.

Code Section 5.4.2 (Composition of the Supervisory Board)

The Supervisory Board should not include any members who hold board positions with major competitors. Due to the age structure of the Management Board, no long-term succession plan has been made at this time. Accordingly, there is no disclosure in the corporate governance statement.

Code Recommendations C.2 (Age limit for Supervisory Board members)

In the opinion of the Supervisory Board, an age limit is not necessary for the effective and successful work of the Supervisory Board. The Supervisory Board will examine to what extent this recommendation can be complied with in the future.

Code Recommendation C.12 (No board functions or advisory functions with significant competitors)

Members of the Supervisory Board should not exercise any board or advisory functions for significant competitors of the company and should not have a personal relationship with a significant competitor. However, the Supervisory Board members Axel Harloff and Carsten Wolff hold executive positions at major competitors. Mr Harloff is Chairman of the Supervisory Board of Consus Real Estate AG, Berlin, Managing Director of ERWE Immobilien GmbH, Frankfurt am Main, and a member of the Management Board of ERWE Immobilien AG, Frankfurt am Main. Mr Wolff serves on the Board of Directors as CFO of A.D.O. Group LTD, Tel Aviv, Israel, and Eurohaus Frankfurt AG, Berlin, both of which are wholly owned subsidiaries of ADLER Real Estate AG, as well as a member of the Supervisory Board of ERWE Immobilien AG, Frankfurt am Main. In the opinion of the Company, however, no material conflicts of interest will arise as a result.

Code Recommendations D.2, D.3, D.4, D.5 and C.10 (Formation of Supervisory Board committees)

The Supervisory Board has so far refrained from setting up committees (e.g. an audit committee or a nomination committee) and will continue to do so in the future, because the Supervisory Board believes that, given the number of three members, it is possible to work efficiently even if all members are represented, and the formation of committees, which must comprise at least two persons, or a quorum of at least three, does not seem appropriate for a Supervisory Board of this size. Accordingly, there is no chairperson of an audit committee who has special knowledge and experience in the application of accounting principles and internal controlling procedures and who is familiar with and independent of the audit of the financial statements. As there are no Supervisory Board committees and therefore no committee chairpersons, the recommendations in section C.10 regarding the independence of committee chairpersons are deviated from.

Code Recommendation D.11 (Regular assessment by audit committee)

As there is no audit committee, it cannot regularly assess the quality of the audit; this is done by the full Supervisory Board.

Code Recommendation F.2 (Publication of financial information during the year)

Accentro Real Estate AG generally publishes its in-year financial information 45 days after the end of the reporting period. In exceptional cases, there may be a slight delay due to special organisational procedures. The legal requirements for the semi-annual financial report in accordance with § 115 of the German Securities Trading Act (WpHG) are complied with in all cases. With regard to the 2020 annual financial statements, the Company exceptionally refrains from publishing them within 90 days of the end of the financial year due to the COVID 19 pandemic, which hampered the company´s workflow as a result of the lockdown,which has been in force in Germany since early November 2020 and which has been tightened by further restriction since. The statutory requirements pursuant to Section 114 of the German Securities Trading Act (WpHG) are complied with in all cases .

Code Recommendation G.1 (Determination of the specific total remuneration)

Pursuant to the requirements of law, the Supervisory Board will in the future set a maximum total remuneration for the Management Board. A presentation of how the target remuneration is determined, as well as a breakdown for each individual member of the Management Board, including an explanation of the relative proportions of the compensation components, has not been and will not be provided. At the time of the resolution on the remuneration system, the Supervisory Board was in the final stages of negotiations on the LTI, so that a target remuneration could not yet be definitively determined. In the view of the Supervisory Board, no breakdown is necessary given the number of Management Board members (two).

Code Recommendation G.6 (Variable remuneration)

The Management Board contracts do not provide for a long-term variable remuneration component, so that the recommendation is deviated from that the variable remuneration resulting from the achievement of long-term oriented targets should exceed the share resulting from short-term oriented targets.  In the opinion of the Supervisory Board, no such arrangement is necessary as an incentive for the activities of the Management Board, as the Management Board is sufficiently motivated by the current arrangement of variable remuneration to act in the long-term interests of the Company.

Code Recommendation G.10 (Granting of shares, time of disposal)

The holding period of shares acquired upon appointment to the Management Board is linked to the term of appointment, so that in the event of a brief appointment period - as is the case here due to the respective initial appointments - the members of the Management Board can then dispose of their shares earlier than before the expiration of four years if no reappointment takes place.

No variable remuneration components were granted to the members of the Management Board in the form of shares or share-based remuneration. Because their term of appointment expires in two years, the existing Management Board members will be able to dispose of their long-term remuneration component after the expiry of slightly more than two years and three months when the LTI is launched as of 1 January 2021. The Supervisory Board does not consider a longer assessment period or a waiting period beyond the term of appointment to be suitable to additionally motivate the members of the Management Board and to provide incentives for long-term, sustainable corporate development. In the future, however, the assessment period for the LTI is to be four years and the LTI earned will accordingly only be at the free disposal of the Management Board members after a period of slightly more than four years.

Code Recommendation G.11 (Withholding or reclaiming variable remuneration)

There are no plans, either at present or in the future, for the Supervisory Board to withhold or reclaim variable remuneration in its entirety. The LTI may be adjusted by 20% for each individual performance period as well as for the entire assessment period at the discretion of the Supervisory Board from 1 January 2021. In addition, the LTI can also be adjusted on an ad hoc basis in the event of exceptional occurrences, so that in the opinion of the Supervisory Board there is no need for any further withholding or reclaiming of variable remuneration. For new contracts and in the case of contract extensions, the discretionary adjustment by the Supervisory Board of 20% is also to apply to the STI in future.

Code Recommendation G.13 (Severance payment cap)

There is no provision per se for crediting the indemnity for the non-compete waiting period towards any severance payment to be rendered. In the opinion of the Supervisory Board, such a provision is not necessary as an incentive for the activities of the Management Board. The Supervisory Board decides on a case-by-case basis whether a credit is to be made, in order to be able to meet the different objectives of severance payments and indemnities for waiting periods in each case.

The Management and Supervisory Boards of ACCENTRO Real Estate AG declare: "ACCENTRO Real Estate AG has complied with the recommendations of the German Corporate Governance Code as amended since the last declaration of conformity was issued in March 2019 with the following exceptions and intends to continue to comply with the Code's recommendations in the coming financial year with the following exceptions:

Code Section 2.3.3 (Transmission on the Internet)

The Company did not broadcast the 2019 general shareholders' meeting and does not intend to broadcast the 2020 general shareholders' meeting via state-of-the-art communication media.

The D&O insurance policy concluded as a group contract currently does not provide for a deductible for the members of the Supervisory Board. In the interests of the Company, leadership and management skills as well as professional competence in the respective business areas and areas of responsibility and acquired professional experience are of primary importance.

Code Section 4.2.1 (Composition of the Management Board)

At variance with Section 4.2.1 of the Code, the Management Board of ACCENTRO Real Estate AG currently consists of only one person. The Supervisory and Management Boards are of the opinion that the size of the Company justifies this. Nevertheless, the Management and Supervisory Boards regularly review whether the development of the business makes it necessary to expand the Management Board.

Code Section 4.2.3 (Remuneration)

The total remuneration of the Management Board currently comprises fixed and variable components, but no remuneration components with a long-term incentive effect or association with risk. In addition, the recommendation that the variable components of the total remuneration should take into account any negative development of the Company has not been and will not be complied with. In the opinion of the Supervisory Board, neither of these is necessary to ensure the loyalty of the Management Board and its commitment to the Company. No maximum compensation limits or a severance payment cap for departing Management Board members have been agreed at present, as the Supervisory Board does not consider this necessary.

Code Section 5.1.2 (Composition of the Management Board, age limit and succession planning)

Due to the age structure of the Management Board, no age limit has been set and no long-term succession plan has been made at this time.

The Supervisory and Management Boards expressly welcome all efforts to counteract gender discrimination and any other form of discrimination and to appropriately promote diversity. When appointing members of the Management Board, the Supervisory Board attaches exclusive importance to the competence, qualifications and experience of the persons in question; other characteristics such as gender or national affiliation were and are therefore of no significance for this decision.

Code Section 4.2.3 (Compensation)

The total compensation of the Management Board currently consists of fixed and variable components but no remuneration components marked by long-term incentives and risk elements. Moreover, the recommendation that negative developments should be taken into account when determining the variable components of total compensation was and is not complied with. According to the Supervisory Board, neither of these aspects is necessary to ensure the loyalty of the Management Board and its commitment to the Company. Neither a cap on the amount of compensation nor a severance pay cap for former members of the Management Board have currently been agreed, as the Supervisory Board does not deem these necessary.

Code Section 5.1.2 (Composition of the Management Board, Age Limit, and Succession Planning)

Due to the age structure of the Management Board, no age limit or long-term succession planning is currently in place. The Supervisory Board and Management Board expressly welcome all endeavours to counteract gender-based or any other form of discrimination, and to promote diversity in appropriate ways. When appointing members to the Management Board, the Supervisory Board places emphasis solely on the competence, qualifications and experience of eligible candidates, while other characteristics such as gender and nationality have been, and continue to be, without relevance for this kind of decision.

Code Sections 5.3.1, 5.3.2 and 5.3.3 (Committees)

The Supervisory Board has refrained from forming committees so far. Specifically, it has not formed, nor will it form, an audit committee or a nomination committee as it considers three Supervisory Board members a sufficient number to function effectively in joint representation. Given the size of the Supervisory Board, it would moreover seem unreasonable to form committees, which must include at least two people or, for a quorum, at least three people.

Code Section 5.4.1 (Composition of the Supervisory Board)

The Company does not yet comply with the code’s recommendation to formulate specific targets for the composition of the Supervisory Board (as well as a competence profile for the full Board) and to publish these in the Corporate Governance Report, which targets specifically include the adequate representation of women. The legal provisions governing compliance with the mandated minimum

representation of women will be complied with in the next elections of the Supervisory Board. The Supervisory Board believes that neither an age limit nor a maximum length of tenure is required to ensure the effectiveness and success of the Supervisory Board’s efforts. The Supervisory Board will seek to determine to what extent these recommendations may be complied with in the future.

Both the Supervisory Board and the Management Board believe that the size of the Company justifies the arrangement. Nonetheless, the Management Board and the Supervisory Board periodically check whether the development of the Company warrants an expansion of the Management Board.

Code Section 4.2.3 (Compensation)

The total compensation of the Management Board currently consists of fixed and variable components, but no remuneration components marked by long-term incentives and risk elements. Moreover, the recommendation that negative developments should be taken into account when determining the variable components of total compensation was and is not complied with. According to the Supervisory Board, neither of these aspects is necessary to ensure the loyalty of the Management Board and its commitment to the Company. Neither a cap on the amount of compensation nor a severance pay cap for former members of the Management Board have currently been agreed, as the Supervisory Board does not deem these necessary.

Code Section 5.1.2 (Composition of the Management Board, Age Limit, and Succession Planning)

Due to the age structure of the Management Board, no age limit or long-term succession planning is currently in place. The Supervisory Board and Management Board expressly welcome all endeavours to counteract gender-based or any other form of discrimination, and to promote diversity in appropriate ways. When appointing members to the Management Board, the Supervisory Board places emphasis solely on the competence, qualifications and experience of eligible candidates, while other characteristics such as gender and nationality have been, and continue to be, without relevance for this kind of decision.

Code Sections 5.3.1, 5.3.2 and 5.3.3 (Committees)

The Supervisory Board has refrained from forming committees so far. Specifically, it has not formed, nor will it form, an audit committee or a nomination committee as it considers three Supervisory Board members a sufficient number to function effectively in joint representation. Given the size of the Supervisory Board, it would moreover seem unreasonable to form committees, which must include at least two people or, for a quorum, at least three people.

Code Section 5.4.1 (Composition of the Supervisory Board)

The Company does not yet comply with the code’s recommendation to formulate specific targets for the composition of the Supervisory Board [as well as a competence profile for the full Board] and to publish these in the Corporate Governance Report, which targets specifically include the adequate representation of women. The legal provisions governing compliance with the mandated minimum representation of women will be complied with in the next elections of the Supervisory Board. The Supervisory Board believes that neither an age limit nor a maximum length of tenure is required to ensure the effectiveness and success of the Supervisory Board’s efforts. The Supervisory Board will seek to determine to what extent these recommendations may be complied with in the future.

Code Section 5.4.2 (Composition of the Supervisory Board)

Dr. Dirk Hoffmann, currently member of the Supervisory Board, is chairman of the supervisory board of Adler Real Estate AG, Berlin, as well as chairman of the supervisory board of Squadra Immobilien GmbH & Co. KGaA, Frankfurt am Main. Axel Harloff is chairman of the supervisory board of Consus Real Estate AG Aktiengesellschaft, Berlin. Natig Ganiyev is not a supervisory board member of any stock corporation.

Since mid-2012, the Supervisory Board is supposed to exclude members who serve in supervisory bodies of key competitors. This could have been the case with all three of the Supervisory Board members. However, there have been no signs of material conflicts of interest.

Code Section 7.1.2 (Discussion of Interim Reports by the Supervisory Board and Publication of Interim Reports)

At present, the Company’s quarterly reports are not discussed with the Supervisory Board prior to publication. Once a quarter, the Management Board briefs the Supervisory Board in writing about the Company’s state of affairs and the course of its business.

ACCENTRO Real Estate AG principally publishes its interim reports 45 days after the end of the reporting period. In exceptional circumstances there may be a slight delay due to special organisational processes. The legal requirements set out in Art. 114, German Securities Trading Act (WpHG), are complied with in any case.

The Management Board and Supervisory Board of ACCENTRO Real Estate AG

Gemäß § 161 AktG haben Vorstand und Aufsichtsrat einer börsennotierten Gesellschaft jährlich eine Erklärung abzugeben, inwiefern den Empfehlungen der „Regierungskommission Deutscher Corporate Governance Kodex” entsprochen wurde und wird. Die nachfolgende Erklärung bezieht sich auf den Kodex in seiner Fassung vom 5. Mai 2015, die am 12. Juni 2015 im elektronischen Bundesanzeiger veröffentlicht wurde. Vorstand und Aufsichtsrat der ACCENTRO Real Estate AG erklären: „Die ACCENTRO Real Estate AG hat seit der Abgabe der letzten Entsprechenserklärung im März 2016 den Empfehlungen des Deutschen Corporate Governance Kodex in der jeweils aktuellen Fassung mit folgenden Ausnahmen entsprochen und beabsichtigt, den Kodexempfehlungen auch im kommenden Geschäftsjahr mit folgenden Ausnahmen zu entsprechen:

Kodex Ziffer 2.3.1 und 2.3.2 (Briefwahl)

Die Gesellschaft beabsichtigt derzeit nicht, vor und in der Hauptversammlung zusätzlich zur Stimmrechtsvertretung durch weisungsgebundene Stimmrechtsvertreter eine Briefwahl durchzuführen, zumal die nach § 118 Abs. 2 AktG dafür erforderliche satzungsmäßige Grundlage nicht vorliegt. Die Einführung der Briefwahl neben der bereits möglichen mittelbaren Mitwirkung an den Abstimmungen der Hauptversammlung in Form einer Stimmrechtsvertretung durch von der Gesellschaft benannten Stimmrechtsvertreter führt nach Ansicht der Gesellschaft nur zu zusätzlichem Aufwand für die Hauptversammlung, ohne wesentliche Vorteile für die Willensbildung der Aktionäre zu bieten. Auch in der letzten Hauptversammlung wurde dies nicht angeboten.

Kodex Ziffer 2.3.3 (Übertragung im Internet)

Die Gesellschaft hat die Hauptversammlungen 2016 nicht übertragen und beabsichtigt auch keine Übertragung der Hauptversammlung 2017 durch moderne Kommunikationsmedien.

Kodex Ziffer 3.8 (D&O-Versicherung)

Die als Gruppenvertrag abgeschlossene D&O-Versicherung sieht für die Mitglieder des Aufsichtsrats derzeitig keinen Selbstbehalt vor. Die Gesellschaft ist der Auffassung, dass ein solcher Selbstbehalt für die Aufsichtsratsmitglieder nicht erforderlich ist, um diese zur ordnungsgemäßen Wahrnehmung ihrer Überwachungsaufgabe anzuhalten.

Kodex Ziffer 4.1.5 (Diversity)

Der Vorstand der Accentro Real Estate AG verfolgt die Zielsetzung, Frauen zu fördern und hat sich zum Ziel gemacht, weitere Frauen für Führungspositionen zu gewinnen. Der Vorstand ist aber der Auffassung, dass der Aspekt der Vielfalt, der die Berücksichtigung von Frauen einschließt, kein allein ausschlaggebendes Kriterium für die Besetzung von Führungspositionen sein sollte. Im Interesse des Unternehmens kommt es vielmehr vorrangig auf Führungs- und Managementfähigkeiten sowie die Fachkompetenz in den jeweiligen Geschäfts- und Verantwortungsbereichen und die gewonnene berufliche Erfahrung an.

Kodex Ziffer 4.2.1 (Zusammensetzung des Vorstands)

Abweichend von Ziffer 4.2.1 des Kodex besteht der Vorstand der ACCENTRO Real Estate AG derzeit nur aus einer Person. Aufsichtsrat und Vorstand sind der Auffassung, dass die Unternehmensgröße dies rechtfertigt. Gleichwohl prüfen Vorstand und Aufsichtsrat regelmäßig, ob die Unternehmensentwicklung eine Erweiterung des Vorstands erforderlich macht.

Kodex Ziffer 4.2.3 (Vergütung)

Die Gesamtvergütung des Vorstands umfasst derzeit fixe und variable Bestandteile, jedoch keine Vergütungskomponenten mit langfristiger Anreizwirkung und Risikocharakter. Darüber hinaus wurde und wird der Empfehlung nicht entsprochen, bei den variablen Bestandteilen der Gesamtvergütung eine negative Entwicklung der Gesellschaft zu berücksichtigen. Nach Auffassung des Aufsichtsrats ist beides nicht erforderlich, um die Loyalität des Vorstands und seinen Einsatz für die Gesellschaft sicherzustellen. Betragsmäßige Höchstgrenzen der Vergütung beziehungsweise ein Abfindungs-Cap für ausscheidende Vorstandsmitglieder sind derzeit nicht vereinbart, da dies der Aufsichtsrat nicht für erforderlich hält.

Kodex Ziffer 5.1.2

(Zusammensetzung des Vorstands, Altersgrenze und Nachfolgeplanung) Auf die Festlegung einer Altersgrenze und eine langfristige Nachfolgeplanung wird aufgrund der Altersstruktur des Vorstands zum jetzigen Zeitpunkt verzichtet.

Aufsichtsrat und Vorstand begrüßen ausdrücklich alle Bestrebungen, die einer geschlechtlichen wie auch jeder anderen Form von Diskriminierung entgegenwirken und die Vielfalt (Diversity) angemessen fördern. Bei der Besetzung des Vorstands legt der Aufsichtsrat ausschließlich Wert auf die Kompetenz, Qualifikation und Erfahrung der in Frage kommenden Personen, weitere Eigenschaften wie das Geschlecht oder nationale Zugehörigkeit waren und sind für diese Entscheidung deshalb ohne Bedeutung.

Kodex Ziffer 5.3.1, 5.3.2 und 5.3.3 (Ausschüsse)

Der Aufsichtsrat hat bislang auf die Einrichtung von Ausschüssen verzichtet, insbesondere auch auf die Einrichtung eines Prüfungs- und eines Nominierungsausschusses und wird dies auch zukünftig tun, weil der Aufsichtsrat angesichts der Anzahl von drei Mitgliedern eine effiziente Arbeit auch in Gesamtvertretung für möglich hält und die Bildung von Ausschüssen, die mindestens zwei, bei Beschlussfähigkeit mindestens drei Personen umfassen müssen, bei einem Aufsichtsrat dieser Größenordnung nicht angebracht erscheint.

Kodex Ziffer 5.4.1 (Zusammensetzung des Aufsichtsrats)

Der Empfehlung des Kodex zur Formulierung von konkreten Zielen zur Zusammensetzung des Aufsichtsrats und deren Veröffentlichung im Corporate Governance Bericht, die insbesondere auch eine angemessene Beteiligung von Frauen beinhaltet, wird derzeit nicht entsprochen. Den gesetzlichen Bestimmungen zur Erfüllung einer vorgegebenen Mindestbeteiligung von Frauen wird bei den kommenden Wahlen des Aufsichtsrates entsprochen. Nach Ansicht des Aufsichtsrats sind sowohl die Altersgrenze als auch die Begrenzung der Zugehörigkeitsdauer für die effektive und erfolgreiche Arbeit des Aufsichtsrats nicht erforderlich. Der Aufsichtsrat wird prüfen, inwieweit diesen Empfehlungen zukünftig entsprochen werden kann.

Kodex Ziffer 5.4.2. (Zusammensetzung des Aufsichtsrats)

Das derzeitige Aufsichtsratsmitglied Herr Dr. Dirk Hoffmann ist Aufsichtsratsvorsitzender der Adler Real Estate AG, Berlin, Vorsitzender des Aufsichtsrates der Squadra Immobilien GmbH & Co. KGaA, Frankfurt am Main, Mitglied des Verwaltungsrats der conwert Immobilien Invest SE, Wien/Österreich, war bis zum 31.03.2016 stellvertretender Aufsichtsratsvorsitzender der Bremer Kreditbank AG, Bremen, bis zum 30.06.2016 Mitglied des Aufsichtsrates der Dexia Kommunalbank Deutschland AG, Berlin und bis zum 21.12.2016 Aufsichtsratsvorsitzender der Aggregate Holding SA, Luxemburg. Herr Axel Harloff ist stellvertretender Aufsichtsratsvorsitzender der Westgrund Aktiengesellschaft, Berlin. Herr Carsten Wolff ist Mitglied des Aufsichtsrates der Westgrund Aktiengesellschaft, Berlin.

Seit Mitte 2012 sollen dem Aufsichtsrat keine Mitglieder angehören, die Organfunktion bei wesentlichen Wettbewerbern angehören. Dies hätte bei allen drei Aufsichtsräten der Fall sein können. Wesentliche Interessenkonflikte sind jedoch nicht aufgetreten.

Kodex Ziffer 7.1.2 (Befassung des Aufsichtsrats mit Zwischenberichten und Veröffentlichung der Zwischenberichte)

Derzeit werden Quartalsberichte vor Veröffentlichung nicht mit dem Aufsichtsrat erörtert. Der Vorstand unterrichtet den Aufsichtsrat quartalsweise schriftlich über die Lage der Gesellschaft und den Gang der Geschäfte.

Grundsätzlich veröffentlicht die ACCENTRO Real Estate AG ihre Zwischenberichte 45 Tage nach Ende des Berichtszeitraums. In Ausnahmefällen kann es aufgrund spezieller organisatorischer Abläufe zu einer geringen zeitlichen Verzögerung kommen. Den gesetzlichen Vorgaben nach § 37w WpHG wird in jedem Fall entsprochen.

Die Gesellschaft ist der Auffassung, dass ein solcher Selbstbehalt für die Aufsichtsratsmitglieder nicht erforderlich ist, um diese zur ordnungsgemäßen Wahrnehmung ihrer Überwachungsaufgabe anzuhalten.

Kodex Ziffer 4.2.1 (Zusammensetzung des Vorstands)

Abweichend von Ziffer 4.2.1 des Kodex besteht der Vorstand der ACCENTRO Real Estate AG derzeit nur aus einer Person. Aufsichtsrat und Vorstand sind der Auffassung, dass die Unternehmensgröße dies rechtfertigt. Gleichwohl prüfen Vorstand und Aufsichtsrat regelmäßig, ob die Unternehmensentwicklung eine Erweiterung des Vorstands erforderlich macht.

Kodex Ziffer 4.2.3 (Vergütung)

Die Gesamtvergütung des Vorstands umfasst derzeit fixe und variable Bestandteile, jedoch keine Vergütungskomponenten mit langfristiger Anreizwirkung und Risikocharakter. Darüber hinaus wurde und wird der Empfehlung nicht entsprochen, bei den variablen Bestandteilen der Gesamtvergütung eine negative Entwicklung der Gesellschaft zu berücksichtigen. Nach Auffassung des Aufsichtsrats ist beides nicht erforderlich, um die Loyalität des Vorstands und seinen Einsatz für die Gesellschaft sicherzustellen. Betragsmäßige Höchstgrenzen der Vergütung beziehungsweise ein Abfindungs-Cap für ausscheidende Vorstandsmitglieder sind derzeit nicht vereinbart, da dies der Aufsichtsrat nicht für erforderlich hält.

Kodex Ziffer 5.1.2 (Zusammensetzung des Vorstands, Altersgrenze und Nachfolgeplanung)

Auf die Festlegung einer Altersgrenze und eine langfristige Nachfolgeplanung wird aufgrund der Altersstruktur des Vorstands zum jetzigen Zeitpunkt verzichtet.

Aufsichtsrat und Vorstand begrüßen ausdrücklich alle Bestrebungen, die einer geschlechtlichen wie auch jeder anderen Form von Diskriminierung entgegenwirken und die Vielfalt (Diversity) angemessen fördern. Bei der Besetzung des Vorstands legt der Aufsichtsrat ausschließlich Wert auf die Kompetenz, Qualifikation und Erfahrung der in Frage kommenden Personen, weitere Eigenschaften wie das Geschlecht oder nationale Zugehörigkeit waren und sind für diese Entscheidung deshalb ohne Bedeutung.

Kodex Ziffer 5.3.1, 5.3.2 und 5.3.3 (Ausschüsse)

Der Aufsichtsrat hat bislang auf die Einrichtung von Ausschüssen verzichtet, insbesondere auch auf die Einrichtung eines Prüfungs- und eines Nominierungsausschusses und wird dies auch zukünftig tun, weil der Aufsichtsrat angesichts der Anzahl von drei Mitgliedern eine effiziente Arbeit auch in Gesamtvertretung für möglich hält und die Bildung von Ausschüssen, die mindestens zwei, bei Beschlussfähigkeit mindestens drei Personen umfassen müssen, bei einem Aufsichtsrat dieser Größenordnung nicht angebracht erscheint.

Kodex Ziffer 5.4.1 (Zusammensetzung des Aufsichtsrats)

Der Empfehlung des Kodex zur Formulierung von konkreten Zielen zur Zusammensetzung des Aufsichtsrats und deren Veröffentlichung im Corporate Governance Bericht, die insbesondere auch eine angemessene Beteiligung von Frauen beinhaltet, wird derzeit nicht entsprochen, da nach Ansicht des Aufsichtsrats eine solche Zielaufstellung für die effektive und erfolgreiche Arbeit des Aufsichtsrats nicht erforderlich ist. Der Aufsichtsrat wird prüfen, inwieweit diesen Empfehlungen zukünftig entsprochen werden kann.

Kodex Ziffer 5.4.2. (Zusammensetzung des Aufsichtsrats)

Das derzeitige Aufsichtsratsmitglied Herr Dr. Hoffmann ist Aufsichtsratsvorsitzender der Adler Real Estate AG, Hamburg, Vorsitzender des Aufsichtsrates der Squadra Immobilien GmbH & Co. KGaA, Frankfurt am Main, stellvertretender Aufsichtsratsvorsitzender der Bremer Kreditbank AG, Bremen sowie Mitglied des Aufsichtsrates der Dexia Kommunalbank Deutschland AG, Berlin.

Seit Mitte 2012 sollen dem Aufsichtsrat keine Mitglieder angehören, die Organfunktion bei wesentlichen Wettbewerbern angehören. Dies hätte bei Herrn Dr. Hoffmann der Fall sein können. Wesentliche Interessenkonflikte sind in diesem Fall nicht aufgetreten.

Die beiden anderen Aufsichtsratsmitglieder sind nicht Mitglieder anderer gesetzlich zu bildender Aufsichtsräte oder vergleichbarer in- und ausländischer Kontrollgremien von Wirtschaftsunternehmen.

Kodex Ziffer 7.1.2 (Befassung des Aufsichtsrats mit Zwischenberichten und Veröffentlichung der Zwischenberichte)

Derzeit werden Quartalsberichte vor Veröffentlichung nicht mit dem Aufsichtsrat erörtert. Der Vorstand unterrichtet den Aufsichtsrat quartalsweise schriftlich über die Lage der Gesellschaft und den Gang der Geschäfte.

Grundsätzlich veröffentlicht die ACCENTRO Real Estate AG ihre Zwischenberichte 45 Tage nach Ende des Berichtszeitraums. In Ausnahmefällen kann es aufgrund spezieller organisatorischer Abläufe zu einer geringen zeitlichen Verzögerung kommen. Den gesetzlichen Vorgaben nach § 37w WpHG wird in jedem Fall entsprochen.

Vorstand und Aufsichtsrat ACCENTRO

Real Estate AG

Gemäß § 161 AktG haben Vorstand und Aufsichtsrat einer börsennotierten Gesellschaft jährlich eine Erklärung abzugeben, inwiefern den Empfehlungen der „Regierungskommission Deutscher Corporate Governance Kodex” entsprochen wurde und wird. Die nachfolgende Erklärung bezieht sich auf den Kodex in seiner Fassung vom 13. Mai 2013, die am 10. Juni 2013 im elektronischen Bundesanzeiger veröffentlicht wurde. Der Wortlaut der Erklärung ist auf der Webseite der Gesellschaft www.estavis.de veröffentlicht.

Vorstand und Aufsichtsrat der ESTAVIS AG erklären:

„Die ESTAVIS AG hat seit der Abgabe der letzten Entsprechenserklärung im September 2013 den Empfehlungen des Deutschen Corporate Governance Kodex in der jeweils aktuellen Fassung mit folgenden Ausnahmen entsprochen und beabsichtigt, den Kodexempfehlungen auch im kommenden Geschäftsjahr mit folgenden Ausnahmen zu entsprechen:

Kodex Ziffer 2.3.1 und 2.3.2 (Briefwahl)

Die Gesellschaft beabsichtigt derzeit nicht, vor und in der Hauptversammlung zusätzlich zur Stimmrechtsvertretung durch weisungsgebundene Stimmrechtsvertreter eine Briefwahl durchzuführen, zumal die nach § 118 Abs. 2 AktG dafür erforderliche satzungsmäßige Grundlage nicht vorliegt. Die Einführung der Briefwahl neben der bereits möglichen mittelbaren Mitwirkung an den Abstimmungen der Hauptversammlung in Form einer Stimmrechtsvertretung durch von der Gesellschaft benannten Stimmrechtsvertreter führt nach Ansicht der Gesellschaft nur zu zusätzlichem Aufwand für die Hauptversammlung, ohne wesentliche Vorteile für die Willensbildung der Aktionäre zu bieten. Auch in der letzten Hauptversammlung wurde dies nicht angeboten.

Kodex Ziffer 3.8 (D&O-Versicherung) Die als Gruppenvertrag abgeschlossene D&O-Versicherung sieht für die Mitglieder des Aufsichtsrats derzeitig keinen Selbstbehalt vor. Die Gesellschaft ist der Auffassung, dass ein solcher Selbstbehalt für die Aufsichtsratsmitglieder nicht erforderlich ist, um diese zur ordnungsgemäßen Wahrnehmung ihrer Überwachungsaufgabe anzuhalten.

Kodex Ziffer 4.2.1 (Zusammensetzung des Vorstands) Abweichend von Ziffer 4.2.1 des Kodex besteht der Vorstand der ESTAVIS AG derzeit nur aus einer Person. Aufsichtsrat und Vorstand sind der Auffassung, dass die Unternehmensgröße dies rechtfertigt. Das derzeitige Aufsichtsratsmitglied Herr Dr. Hoffmann ist des Weiteren Aufsichtsratsvorsitzender der Adler Real Estate AG, Hamburg, Vorsitzender des Aufsichtsrates der Squadra Immobilien GmbH & Co. KGaA, Frankfurt am Main, stellvertretender Aufsichtsratsvorsitzender der DEMIRE Deutsche Mittelstand Real Estate AG, Frankfurt am Main sowie Mitglied des Aufsichtsrates der Dexia Kommunalbank Deutschland AG, Berlin.

Soweit für die Beratungsleistungen eines Aufsichtsratsmitglieds Vergütungen an eine Rechtsanwaltskanzlei gezahlt werden oder für andere Anwälte derselben Rechtsanwaltskanzlei Vergütungen gezahlt werden, werden diese Leistungen nicht im Corporate Governance Bericht aufgeführt, da nach Auffassung von Vorstand und Aufsichtsrat eine solche Angabe im Corporate Governance Bericht keinen wesentlichen Informationswert für den Kapitalmarkt hat.

Wird den Aufsichtsratsmitgliedern eine erfolgsorientierte Vergütung zugesagt, soll sie nach dem Kodex auf eine nachhaltige Unternehmensentwicklung ausgerichtet sein. Welche Anforderungen an eine solche Form der erfolgsorientierten Vergütung zu stellen sind, konkretisiert der Kodex nicht. Die Vergütung der Aufsichtsratsmitglieder enthält einen variablen Bestandteil, der sich daran orientiert, ob die Entwicklung der Aktienkurse einer Peer Group übertroffen wurde. Aus Sicht der ESTAVIS AG stellt dies eine nachhaltige Vergütung dar.

Kodex Ziffer 7.1.2 (Befassung des Aufsichtsrats mit Zwischenberichten und Veröffentlichung der Zwischenberichte)

Derzeit werden Quartalsberichte vor Veröffentlichung nicht mit dem Aufsichtsrat erörtert. Der Vorstand berichtet dem Aufsichtsrat auf monatlicher Basis über die Lage der Gesellschaft und den Gang der Geschäfte. Wesentliche Interessen¬konflikte sind bei Herrn Elgeti bislang nicht aufgetreten. Der Aufsichtsrat wird dies weiterhin überwachen. Bei künftigen Wahlvorschlägen von Aufsichtsratsmitgliedern wird der Aufsichtsrat diese neue Empfehlung des Kodex berücksichtigen.

Kodex Ziffer 5.4.6. (Aufsichtsratsvergütung)

Soweit für die Beratungsleistungen eines Aufsichtsratsmitglieds Vergütungen an eine Rechtsanwaltskanzlei gezahlt werden oder für andere Anwälte derselben Rechtsanwaltskanzlei Vergütungen gezahlt werden, werden diese Leistungen nicht im Corporate Governance Bericht aufgeführt, da nach Auffassung von Vorstand und Aufsichtsrat eine solche Angabe im Corporate Governance Bericht keinen wesentlichen Informationswert für den Kapitalmarkt hat.

Vorstand und Aufsichtsrat der ESTAVIS AG erklären: „Die ESTAVIS AG hat seit der Abgabe der letzten Entsprechenserklärung im September 2011 den Empfehlungen des Deutschen Corporate Governance Kodex in der jeweils aktuellen Fassung mit folgenden Ausnahmen entsprochen und beabsichtigt, den Kodexempfehlungen auch im kommenden Geschäftsjahr mit folgenden Ausnahmen zu entsprechen:

Kodex Ziffer 2.3.1 und 2.3.3 (Briefwahl)

Die Gesellschaft beabsichtigt derzeit nicht, vor und in der Hauptversammlung zusätzlich zur Stimmrechtsvertretung durch weisungsgebundene Stimmrechtsvertreter eine Briefwahl durchzuführen, zumal die nach § 118 Abs. 2 AktG dafür erforderliche satzungsmäßige Grundlage nicht vorliegt. Die Einführung der Briefwahl neben der bereits möglichen mittelbaren Mitwirkung an den Abstimmungen der Hauptversammlung in Form einer Stimmrechtsvertretung durch von der Gesellschaft benannten Stimmrechtsvertreter führt nach Ansicht der Gesellschaft nur zu zusätzlichem Aufwand für die Hauptversammlung, ohne wesentliche Vorteile für die Willensbildung der Aktionäre zu bieten. Auch in der letzten Hauptversammlung wurde dies nicht angeboten.

Kodex Ziffer 3.8 (D&O-Versicherung)

Die als Gruppenvertrag abgeschlossene D&O-Versicherung sieht für die Mitglieder des Aufsichtsrats derzeitig keinen Selbstbehalt vor. Die Gesellschaft ist der Auffassung, dass ein solcher Selbstbehalt für die Aufsichtsratsmitglieder nicht erforderlich ist, um diese zur ordnungsgemäßen Wahrnehmung ihrer Überwachungsaufgabe anzuhalten.

Kodex Ziffer 4.2.1 (Zusammensetzung des Vorstands)

Der Vorstand der ESTAVIS AG besteht derzeit aus zwei Mitgliedern, hat jedoch gegenwärtig keinen Vorsitzenden oder Sprecher, da dies aufgrund der Struktur der Aufgabenverteilung im Vorstand als nicht sinnvoll angesehen wird.

Kodex Ziffer 4.2.3 (Vergütung)

Die Gesamtvergütung des Vorstands umfasst derzeit fixe und variable Bestandteile, jedoch keine Vergütungskomponenten mit langfristiger Anreizwirkung und Risikocharakter. Darüber hinaus wurde und wird der Empfehlung nicht entsprochen, bei den variablen Bestandteilen der Gesamtvergütung eine negative Entwicklung der Gesellschaft zu berücksichtigen. Nach Auffassung des Aufsichtsrats ist beides nicht erforderlich, um die Loyalität des Vorstands und seinen Einsatz für die Gesellschaft sicherzustellen. Ein Abfindungs-Cap für ausscheidende Vorstandsmitglieder ist derzeit nicht vereinbart, da dies der Aufsichtsrat nicht für erforderlich hält.

Kodex Ziffer 5.1.2 (Zusammensetzung des Vorstands, Altersgrenze und Nachfolgeplanung)

Auf die Festlegung einer Altersgrenze und eine langfristige Nachfolgeplanung wird aufgrund der Altersstruktur des Vorstands zum jetzigen Zeitpunkt verzichtet.

Aufsichtsrat und Vorstand begrüßen ausdrücklich alle Bestrebungen, die einer geschlechtlichen wie auch jeder anderen Form von Diskriminierung entgegenwirken und die Vielfalt (Diversity) angemessen fördern.

Bei der Besetzung des Vorstands legt der Aufsichtsrat ausschließlich Wert auf die Kompetenz, Qualifikation und Erfahrung der in Frage kommenden Personen, weitere Eigenschaften wie das Geschlecht oder nationale Zugehörigkeit waren und sind für diese Entscheidung deshalb ohne Bedeutung.

Kodex Ziffer 5.3.1, 5.3.2 und 5.3.3 (Ausschüsse)

Der Aufsichtsrat hat bislang auf die Einrichtung von Ausschüssen verzichtet, insbesondere auch auf die Einrichtung eines Prüfungs- und eines Nominierungsausschusses und wird dies auch zukünftig tun, weil der Aufsichtsrat angesichts der Anzahl von drei Mitgliedern eine effiziente Arbeit auch in Gesamtvertretung für möglich hält und die Bildung von Ausschüssen, die mindestens zwei, bei Beschlussfähigkeit mindestens drei Personen umfassen müssen, bei einem Aufsichtsrat dieser Größenordnung nicht angebracht erscheint.

Kodex Ziffer 5.4.1 (Zusammensetzung des Aufsichtsrats)

Der Empfehlung des Kodex zur Formulierung von konkreten Zielen zur Zusammensetzung des Aufsichtsrats und deren Veröffentlichung im Corporate Governance Bericht, die insbesondere auch eine angemessene Beteiligung von Frauen beinhaltet, wird derzeit nicht entsprochen, da nach Ansicht des Aufsichtsrats eine solche Zielaufstellung für die effektive und erfolgreiche Arbeit des Aufsichtsrats nicht erforderlich ist. Der Aufsichtsrat wird prüfen, inwieweit diesen Empfehlungen zukünftig entsprochen werden kann.

Kodex Ziffer 5.4.2. (Zusammensetzung des Aufsichtsrats)

Das Aufsichtsratsmitglied Herr Elgeti ist Vorstand der TAG Immobilien AG. Seit Mitte 2012 sollen dem Aufsichtsrat keine Mitglieder angehören, die Organfunktion bei wesentlichen Wettbewerbern angehören. Dies könnte bei Herrn Elgeti der Fall sein. Wesentliche Interessenkonflikte sind bei Herrn Elgeti bislang nicht aufgetreten. Der Aufsichtsrat wird dies weiterhin überwachen. Bei künftigen Wahlvorschlägen von Aufsichtsratsmitgliedern wird der Aufsichtsrat diese neue Empfehlung des Kodex berücksichtigen.

Kodex Ziffer 5.4.6 (Aufsichtsratsvergütung)

Die ESTAVIS AG zahlt an die Mitglieder des Aufsichtsrats persönlich keine Vergütungen für von diesen erbrachte Beratungs- und Vermittlungsleistungen gegenüber der Gesellschaft. Soweit für die Beratungsleistungen eines Aufsichtsratsmitglieds Vergütungen an eine Rechtsanwaltskanzlei gezahlt werden oder für andere Anwälte derselben Rechtsanwaltskanzlei Vergütungen gezahlt werden, werden diese Leistungen nicht im Corporate Governance Bericht aufgeführt, da nach Auffassung von Vorstand und Aufsichtsrat eine solche Angabe im Corporate Governance Bericht keinen wesentlichen Informationswert für den Kapitalmarkt hat.

Die Vergütung der Aufsichtsratsmitglieder soll den Vorsitz und den stellvertretenden Vorsitz im Aufsichtsrat sowie den Vorsitz und die Mitgliedschaft in Ausschüssen berücksichtigen. Die Vergütungsregelung für die Aufsichtsratsmitglieder der ESTAVIS AG berücksichtigt derzeitig nur den Vorsitz im Aufsichtsrat, sieht jedoch in Anbetracht der Anzahl von lediglich drei Mitgliedern keine Differenzierung zwischen stellvertretendem Aufsichtsratsvorsitzenden und einfachem Mitglied vor. Ausschüsse sind nicht gebildet.

Wird den Aufsichtsratsmitgliedern eine erfolgsorientierte Vergütung zugesagt, soll sie nach dem Kodex auf eine nachhaltige Unternehmensentwicklung ausgerichtet sein. Welche Anforderungen an eine solche Form der erfolgsorientierten Vergütung zu stellen sind, konkretisiert der Kodex nicht. Die Vergütung der Aufsichtsratsmitglieder enthält einen variablen Bestandteil, der sich daran orientiert, ob die Entwicklung der Aktienkurse einer Peer-Group übertroffen wurde. Aus Sicht der ESTAVIS AG stellt dies eine nachhaltige Vergütung dar.

Kodex Ziffer 7.1.2 (Befassung des Aufsichtsrats mit Zwischenberichten und Veröffentlichung der Zwischenberichte)

Derzeit werden Quartalsberichte vor Veröffentlichung nicht mit dem Aufsichtsrat erörtert. Der Vorstand berichtet dem Aufsichtsrat auf monatlicher Basis schriftlich über die Lage der Gesellschaft und den Gang der Geschäfte. Eine zusätzliche quartalsweise Berichterstattung hält der Aufsichtsrat nicht für erforderlich.”

Grundsätzlich veröffentlicht die ESTAVIS AG ihre Zwischenberichte 45 Tage nach Ende des Berichtszeitraums. In Ausnahmefällen kann es aufgrund spezieller organisatorischer Abläufe zu einer geringen zeitlichen Verzögerung kommen. Den gesetzlichen Vorgaben nach § 37w WpHG wird in jedem Fall entsprochen.

Entsprechenserklärung des Vorstands und des Aufsichtsrats der ESTAVIS AG zum Corporate Governance Kodex

Gemäß § 161 AktG haben Vorstand und Aufsichtsrat einer börsennotierten Gesellschaft jährlich eine Erklärung abzugeben, inwiefern den Empfehlungen der „Regierungskommission Deutscher Corporate Governance Kodex“ entsprochen wurde und wird. Für den 1. Juli 2010 bezieht sich die nachfolgende Erklärung auf die Kodex-Fassung vom 18. Juni 2009. Seit dem 2. Juli 2010 bezieht sich die Erklärung auf den Kodex in seiner neuen Fassung vom 26. Mai 2010, die am 2. Juli 2010 im elektronischen Bundesanzeiger veröffentlicht wurde. Der Wortlaut der Erklärung ist auf der Webseite der Gesellschaft www.estavis.de veröffentlicht.

Vorstand und Aufsichtsrat der ESTAVIS AG identifizieren sich mit den Zielen des Deutschen Corporate Governance Kodex, eine verantwortungsvolle, transparente und auf nachhaltige Steigerung des Unternehmenswertes gerichtete Unternehmensführung und -kontrolle zu fördern. Corporate Governance bei der ESTAVIS AG ist darauf ausgerichtet, das Vertrauen von Anlegern, Geschäftspartnern, Mitarbeitern und der Öffentlichkeit in die Leitung und Überwachung des Unternehmens zu stärken.

Die Gesamtvergütung des Vorstandes umfasst derzeit fixe und variable Bestandteile, jedoch keine Vergütungskomponenten mit langfristiger Anreizwirkung und Risikocharakter.

Ein Abfindungs-Cap für ausscheidende Vorstandsmitglieder ist derzeit nicht vereinbart.

Kodex Ziffer 5.1.2 (Altersgrenze)

Auf die Festlegung einer Altersgrenze wird aufgrund der Altersstruktur des Vorstands zum jetzigen Zeitpunkt verzichtet.

Kodex Ziffer 5.3.1, 5.3.2 und 5.3.3 (Ausschüsse)

Der Aufsichtsrat hat bislang auf die Einrichtung von Ausschüssen verzichtet, insbesondere auch auf die Einrichtung eines Prüfungs- und eines Nominierungsausschusses. Vor dem Hintergrund der geplanten Verkleinerung des Aufsichtsrates auf drei Mitglieder wird auch zukünftig von der Einrichtung von Ausschüssen abgesehen.

Kodex Ziffer 7.1.2 (Befassung des Aufsichtsrats mit Zwischenberichten)

Derzeit werden Quartalsberichte vor Veröffentlichung nicht mit dem Aufsichtsrat erörtert.

Vorstand und Aufsichtsrat der ESTAVIS AG identifizieren sich mit den Zielen des Deutschen Corporate Governance Kodex, eine verantwortungsvolle, transparente und auf nachhaltige Steigerung des Unternehmenswertes gerichtete Unternehmensführung und -kontrolle zu fördern. Corporate Governance bei der ESTAVIS AG ist darauf ausgerichtet, das Vertrauen von Anlegern, Geschäftspartnern, Mitarbeitern und der Öffentlichkeit in die Leitung und Überwachung des Unternehmens zu stärken.

Gemäß § 161 AktG haben Vorstand und Aufsichtsrat einer börsennotierten Gesellschaft jährlich eine Erklärung abzugeben, inwiefern den Empfehlungen der "Regierungskommission Deutscher Corporate Governance Kodex" entsprochen wurde und wird.

Entsprechenserklärung 2008

„Gemeinsame Entsprechenserklärung von Vorstand und Aufsichtsrat der ESTAVIS AG gemäß § 161 AktG zum Deutschen Corporate Governance Kodex Vorstand und Aufsichtsrat der ESTAVIS AG erklären gemäß § 161 AktG:

Den Empfehlungen des Deutschen Corporate Governance Kodex in der aktuellen Fassung vom 6. Juni 2008 wurde und wird durch die ESTAVIS AG mit folgenden Ausnahmen entsprochen:

Kodex Ziffer 3.8 (D&O-Versicherung) Die Gesellschaft hat eine D&O-Versicherung für Vorstand und Aufsichtsrat abgeschlossen, die keinen Selbstbehalt vorsieht. Ein Selbstbehalt hat nach Auffassung von Vorstand und Aufsichtsrat keine Auswirkungen auf das Verantwortungsbewusstsein und die Loyalität der Organmitglieder.
